Articles & Bylaws Of The Association

Constitution

Article I.  Name

The name of this Association shall be The National Drug Enforcement Officers Association, Inc.

Article II.  Purpose

The general purpose and object of this Association shall be to promote the cooperation, education, and exchange of information among all law enforcement agencies involved in the enforcement of drug laws.

Article III.  Membership

Section I.  There shall be four classes of members of this Association; namely active members, non active members, honorary members, and charter members.

Section II.  Any graduate of the Drug Enforcement Administration’s NTI Drug Enforcement Officers Academy will become an active member of this Association upon making written application to the secretary and payment of all dues provided thereof.  The applicant then becomes a full and active member, subject to and bound by the Articles of Association as existing at the time of the admission of such member, or as they may be thereafter mended.

Section III.  The secretary shall furnish each new member with a printed copy of the Articles of Association and the by-laws.

Section IV.  Membership shall cease upon termination of the member’s employment as a law enforcement officer, provided, however, that upon written application being made, the Executive Board of the Association may, by their unanimous vote continue the membership of a person who has left the employ of a law enforcement agency.  Active members of the Association who retire from employment in a law enforcement agency shall be entitled to have their membership continued in the Association.  Any member resignation shall be in writing, signed by such resigning member, and shall be delivered to the secretary, who alone is authorized to receive the same.

Section V.  There shall be only nine charter members in the Association.  These charter members shall be as follows:

Article IV.  Officers

Section I.   Designation.  The principal officers of the Association shall be a President, a 1ST Vice President, a 2nd Vice President, a Secretary, and a Treasurer.  The President may appoint a Parliamentarian, State Representative or Sergeant-At-Arms and such other appointees as the President and the Executive Board deem necessary.

Section II.  Election of Officers.  The officers of the Association shall be elected annually by the active members at the conference.

Section III.  Removal of Officers.  Upon an affirmative vote of a majority of the members of the Executive board, any officer may be removed, with cause, and his successor elected at any regular meeting of the Executive Board, or at any special meeting of the Board called for such purpose.

Section IV.  President.  The President shall be the chief executive officer of the Association.  He shall preside at all meetings of the members and the Executive Board.  The President shall approve all disbursement of funds and shall be the primary signatory of two signatories of all checks.  He shall have all of the general powers and duties which are usually vested in the office of President of an Association, including but not limited to the power to appoint committees from among the membership from time to time as he may in his discretion decide are appropriate to assist in the conduct of the affairs of the Association.

Section V.  First Vice President.  The First Vice President shall take the place of the President and perform his duties whenever the President shall be absent or unable to act.  The First Vice President, along with the Second Vice President, shall maintain, coordinate and manage all association activities of state representatives.  The First Vice President shall also perform such other duties as he shall from time to time be charged with by the President or Executive Board.

Section VI.  Second Vice President.  The Second Vice President shall take the place of the First Vice President and perform his duties whenever the First Vice President shall be absent or unable to act.  The Second Vice President shall maintain, up date and preserve all documents, records and photographs of the Association.  The Second Vice President, along with the First Vice President shall maintain, coordinate, and manage activities of state representatives.  The Second Vice President shall also perform such other duties as he shall from time to time be charged with by the President or Executive Board.

Section VII.  Secretary.  The Secretary shall keep and maintain the minutes of all meetings of the executive Board and he shall have custody of the seal of the Association; he shall have charge of the membership books and of such other books and records as the Executive Board may direct.  The Secretary shall issue all notices, bulletins, membership certificates and cards, conduct the official correspondence and keep an accurate record of all proceedings of the Executive Board and Association.  The Secretary shall prepare a full business report to the Association at eh end of each year, and he shall report to the President or Association upon request.  He and the Treasurer shall receive all funds of the Association.  He is authorized to disburse funds as a second signatory on all checks.  He may be the second signatory on all checks with the President.  In that event he shall report to the Treasurer any disbursements so made.  In addition, he shall, in general, perform all the duties incident to the Office of Secretary.

Section VIII.  Treasurer.  The Treasurer shall have responsibility for Association funds and shall be responsible for keeping complete and accurate records and accounts all receipts and disbursements in books belonging to the Association.  The treasurer shall receive and deposit, in the same name and to the credit, of the Association, all monies of the Association in such depositories as may from time to time be designated by the President.  The Treasurer shall disburse such funds as are directed from time to time by resolution of the Executive Board.  Provide, however, that a resolution of the Executive Board shall not be necessary fro disbursements made in the ordinary course of business.  The Treasurer shall annually report to the Executive Board or to the President upon request.  In addition, the Treasurer shall perform all duties generally and specifically incident to the Office of Treasurer.  At the expiration of Treasurer’s term he shall deliver to his successor all money and property of the Association in his care, custody or control.

Article V.  Executive Board

The current officers of the Association, shall constitute the Executive Board, which shall act for the Association between annual meetings.  The Executive Board shall decide all questions which may arise under the By-Laws subject to appeal from its decision to the general meeting of the annual meeting.

Article VI.  Conference

There shall be an annual meeting of the Association at such time and place as shall be decided upon by the Executive Board.  Other meetings may be called at the discretion of the Executive Board.

Article VII.  Amendments

The Articles of Association may be amended at any annual conference by two-thirds vote of the members present, provided notice of the proposed changes having been given in a the call for meeting.  Amendments shall be proposed by the Executive Board of the Association on its own motion or upon the written request of any five members of the Association.

Article VIII.  By-Laws

By-Laws for the Association may be passed, amended or repealed at any annual meeting of the Association by a majority vote of the members present, provided notice of the proposed change has been given to the members in the call for meeting.  Changes may be proposed by the Executive Board of the Association or any five members of the Association.

Article IX.  Dissolution of the Association

This Association shall not be dissolved unless three-fourths of the active members present at the annual conference vote for dissolution.

Attachment

First term elected officers must be present at the annual election.  Any officer may be re-elected to the same office but may not serve more than two consecutive terms in any one office.
